Our services primarily include the management and support of operations on Amazon Seller Central, Walmart, Shopify, and other relevant software and logistics platforms such as Outlook, third-party logistics providers (3PLs), FedEx, UPS, and similar services.

1. Services Provided

Ebackops Unip Lda offers professional e-commerce operational management services. Our core offerings include, but are not limited to:

  • Management of Amazon Seller Central and Walmart operations

  • Support and management of Shopify and other e-commerce platforms

  • Integration and coordination with third-party logistics (3PL) providers

  • Coordination with shipping carriers such as FedEx, UPS, and others

  • Administrative support including email handling through Outlook and related tools

Our goal is to streamline and optimize your e-commerce operations by ensuring that all associated platforms and services function efficiently.


2. Client Responsibilities

By using our services, you acknowledge and agree that you:

  • Will provide all necessary access and permissions to platforms such as Amazon Seller Central, Walmart, Shopify, and other relevant accounts

  • Will provide accurate, complete, and timely information necessary for us to perform our services

  • Are responsible for the accuracy and legality of the data and content shared with us

  • Will comply with all applicable laws and regulations related to your e-commerce activities

  • Will ensure that all information shared with Ebackops Unip Lda is lawful and does not violate third-party intellectual property rights


3. Service Fees and Payments

Fees for our services will be communicated in a written service agreement or proposal prior to the start of services. Fees may be fixed, hourly, or commission-based depending on the scope of work.

  • Payments must be made in accordance with the terms outlined in the service agreement

  • Failure to make timely payments may result in suspension or termination of services

  • All fees are exclusive of applicable taxes; clients are responsible for any VAT or other taxes


4. Confidentiality

Ebackops Unip Lda is committed to maintaining the confidentiality of all proprietary information you provide, including business data, operational information, financial records, and customer details.

Both parties agree not to disclose confidential information to third parties, except as necessary to perform the services or as required by law. Any breach of confidentiality may result in legal action.


5. Intellectual Property

  • All intellectual property rights in deliverables created specifically for the client will remain the property of the client unless otherwise agreed in writing

  • Ebackops Unip Lda reserves the right to use aggregated and anonymized data for service improvement purposes

  • Any software, tools, systems, or methodologies used by Ebackops Unip Lda remain our intellectual property and may not be reused or distributed without prior written consent


6. Limitation of Liability

To the maximum extent permitted by law:

  • Ebackops Unip Lda is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, even if advised of the possibility

  • Our total liability for any claim is limited to the amount paid by the client for the services giving rise to the claim

  • We are not liable for delays or failures caused by circumstances beyond our reasonable control, including technical failures or third-party disruptions


7. Termination of Services

  • Either party may terminate services with a minimum of thirty (30) days’ written notice

  • Upon termination, the client must pay for services rendered up to the termination date

  • We may suspend or terminate services for non-payment, breach of these terms, or breach of confidentiality


8. Data Privacy and Security

We follow industry-standard practices to protect client information. However, you acknowledge that no internet or electronic storage method is 100% secure, and absolute security cannot be guaranteed.

By using our services, you consent to the collection, use, and disclosure of your information in accordance with our Privacy Policy.


9. Amendments to Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on our website, and continued use of our services constitutes acceptance of the updated terms.


10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Portugal. Any disputes arising under these terms are subject to the exclusive jurisdiction of the courts of Portugal.
